Advertising Terms and Conditions
1. Definitions
“Advertising”: the display, advertisement, advertising banner, press release or other paid for sponsorship, mini-site or promotion bearing the Customer Branding that the Customer wishes to appear on the Website, or the Newsletter bearing the Customer Branding that the Customer wishes to be sent via email to newsletter subscribers, as appropriate.
“Contract”: the agreement between Beverly Group and the Customer on these terms and conditions and any Special Conditions.
“Copy”: the style and form in which the Advertisement will appear on the Website or in a Newsletter, as determined by this Agreement and any Special Conditions and as agreed from time to time between Beverly Group and the Client.
“Customer” the person indicated as such in the Order Confirmation Form.
“Client Brand”: the Customer brand that may appear in the Advertisement.
“Duration”: the period during which the Advertisement will appear on the Website.
“Magazine”: any printed publication owned by Beverly Group Ltd in which the Advertisement appears.
“Order Confirmation Form”: the order confirmation form to which these conditions are attached.
“Newsletter”: e-mail messages sent by or on behalf of Beverly Group to newsletter subscribers.
“Newsletter Subscriber”: a user of the Website who has registered with Beverly Group to receive Newsletters.
“Consideration”: the price payable by the Customer, as indicated in the Order Confirmation Form.
“Release Date”: the date on which the release of a Newsletter containing an Announcement is expected, as agreed between the parties.
“Special Conditions”: any condition contained in the Order Confirmation Form.
“Special Instructions”: details relating to the size and positioning of the Advertisement on the Website or Newsletter and other terms indicated in the Order Confirmation Form.
“Unacceptable”: in relation to any Advertisement, means that it is inaccurate, contravenes any law or code of practice relating to the content of advertisements generally, infringes the intellectual property rights of another, is offensive, immoral, defamatory or otherwise objectionable to offend users of the Website, the Newsletter service or the Internet in general.
2. Agreement
By submitting Advertisement material to Beverly Group and/or paying the Fee, the Customer agrees to these terms and authorizes Beverly Group to publish the Advertisement on the Website or in a Newsletter or Magazine, as applicable, once the copy was sent to Beverly Group.
3. Customer Obligations
3.1 Pay the Price upon immediate receipt of a VAT invoice from Beverly Group and in any case no later than the date on which the Advertisement is to appear on the Website or in a Newsletter or Magazine, as the case may be. If the Customer does not pay the Price within 30 days of receipt of the invoice, Beverly Group may (at its discretion).
3.2 You will indemnify Beverly Group against all losses, costs, claims, damages or other expenses incurred by Beverly Group as a result of the Customer's breach of any of these terms or as a result of any third party claim Beverly Group receives as a result of the Advertisements .
3.3 You acknowledge that Beverly Group has full editorial control over all Listings and that Beverly Group will own all copyrights in the Listings, except that Beverly Group does not own any Client Trademarks.
3.4 Provide all Advertising materials (including, without limitation, PDF, GIF and JPEG files) in accordance with procedures required by Beverly Group from time to time.
4. Beverly Group Obligations
4.1 Make every reasonable effort to ensure that the Advertisement appears on the Website for the Term, or, in the case of Newsletters or Magazines, on the Publication Date, and in any case in accordance with the Special Instructions.
4.2 Use reasonable efforts to ensure that the Website is accessible to users of the World Wide Web for a minimum of 140 hours per week.
4.3 Beverly Group Travel & Vacanze does not guarantee any level of response to the display and to the Advertisements.
